The shares were bought pursuant to a private agreement with Highland Park Financial Inc., which is beneficially owned and controlled by John Buhler, a director of Buhler Industries and its past chairman and CEO.

Combine Factory Rostselmash is duly incorporated under the laws of Russia. Prior to completion of the acquisition, the company held about 80 percent of Buhler鈥檚 total issued and outstanding shares. Now it holds about 97 percent of Buhler鈥檚 shares.

Buhler Industries is headquartered in Winnipeg, Manitoba, Canada. The company has manufacturing facilities and warehouses in both Canada and the United States.
